Quotations

All quotations are subject to change without notice. All prices are quoted F.O.B. location Prices quoted are exclusive of Federal, State or Local Sales Taxes and are subject to an increase equal to the amount of any such taxes either now in force or later imposed and applicable responsibility.

 

Payment Terms

In US Funds by Wire Transfer unless other arrangements acceptable by Seller are made. Title of goods sold shall not pass to Buyer until purchase price is paid in full. Additional services such as Dismantling, Rigging, Trucking will not be scheduled until payment is made in full. Company Checks, Cashiers Checks, Credit Cards and Leases are subject to hold until cleared.

Shipping quotes and dates of arrival are estimates only and subject to change.

Returns & Cancelations

Order Cancellation and Return Policy

Seller reserves the right to cancel any order if goods ordered are no longer available, no longer being manufactured or not paid for in a timely manner. Buyer may cancel an order only before shipping. Any deposit paid by Buyer to “hold” a product is not refundable. Orders for items manufactured to buyer’s specifications are not cancelable. It is the Buyer’s responsibility to inspect equipment prior to payment and taking delivery of said equipment. Equipment may be returned only if delivery is not accepted due to damage to the equipment during shipment or if equipment is not as represented by Seller. If equipment is not as represented, Seller reserves the right to make repairs to correct the deficiency and or reimburse the Buyer for incurred expenses provided the Buyer makes notifications in writing of said deficiencies with (2) weeks of receipt of the equipment

Warranty

No Express or Implied Warranty

All equipment is sold “as-is ” with no warranty of merchantability nor warranty of suitability for specific uses. Buyer shall have no right of rejection or revocation of acceptance against Seller for any part of all the goods covered hereby. Buyer is encouraged to inspect machinery or obtain a consultant to inspect the machinery for functionality and fitness of purpose. Seller is not responsible for any expressed or implied warranties made by the manufacturer and makes no warranty that the machinery complies with any requirements of federal, state or local authorities, OSHA or NFPA. It is expressly agreed that the buyer shall have no right of recovery against seller for any direct, incidental or consequential damage arising from any alleged breach of warranty by Seller.

Safety Devices

Safety Devices

Safety devices furnished by Seller shall be limited to those specifically mentioned in the proposal. However, the furnishing of such devices does not imply that the devices furnished will protect an operator from injury when the equipment is used by Buyer. It is Buyer’s responsibility to be sure that all points of hazard, including but not limited to, fan wheels, belts and pullys, explosion vents, moving parts are properly guarded for the equipment’s use, to properly forewarn all operators and or users of the potential hazards, and to properly train operators and or users in the safe operation and maintenance of the equipment. To that end, the buyer should obtain operators and safety manuals from the original manufacturer or secure the services of a qualified, certified Professional Safety Engineer. Seller makes no warranties, expressed or implied, that the machinery when installed and place in operation and used by the Buyer and/or User will comply with Occupational Safety and Health Standards, Rules and Regulations or orders issued pursuant to the Occupation Safety and Health Act. It is the sole responsibility of the Buyer to make certain that the equipment is in compliance with all standards, rules, regulations and orders. Buyer agrees to forever hold Seller harmless from any violations of standards, rules, regulations and orders, including any penalties or citations which may be issued as a result of violating any such standards, rules regulations and orders.

Universal Project Exclusions

Concrete foundations, pads, footings or design

Building covers, or enclosures

Power Distribution, fused and unfused disconnects.

All electrical wiring, including low voltage control and high voltage power wiring

Water, sprinkler, and/or steam piping

Alteration to existing buildings or equiptment

Cutting and waterproofing all wall or building penetrations

Crane, forklift, and scissor lift assistance

Offloading of equipment on arival at site

Building and/or testing permits, air quality permits, or applicable fees

Required PE stamped drawings mandated by the local municipalities, or government agencies

Spark Detection, high speed abort gates, grounding equiptment that may be required by your local authority, or your insurance company

 

Additional Legal Conditions

Indemnification:

For goods sold hereunder Buyer assumes all risk and liability for loss, damage or injury to persons or property of Buyer or others arising out of the use or possession of the goods. Buyer agrees to indemnity and hold harmless Seller from any and all claims or liabilities asserted against Seller in connection with the manufacture, sale, delivery, rental, loan, resale, repair or use of the goods and/or of any obligation or duty of Buyer as set forth herein.

 

Dispute Resolution, Jurisdiction, and Venue

The Seller is a Michigan entity with its business office in Michigan. All business transactions under this agreement are deemed to have taken place in the State of Michigan and County of Muskegon and shall be governed and construed in accordance with the laws of the State of Michigan. The parties agree that only the State of Michigan has jurisdiction for the purpose of any suit, action or other proceeding arising out of this and that the venue shall be the County of Muskegon. Any dispute arising hereunder shall first be submitted to facilitative mediation before the commencement of any legal action. Mediation shall be through either the West Shore Dispute Resolution Center in Muskegon, Michigan or with a mediator agreed upon by both parties. If a dispute is not settled by mutual agreement or mediation and by mutual consent of all parties, any dispute may be settled by final and binding arbitration to take place in Muskegon County Michigan. Any arbitration shall be conducted in accordance with the Commercial Dispute Resolution Procedures and Rules of the American Arbitration Association (“AAA Rules”) by a single disinterested arbitrator appointed in accordance with such AAA Rules.

 

MSDS & Environmental Issues

JusDust will provide MSDS sheets it has in its possession for the material that was previously being collected. It is the Buyer’s responsibility to determine if an environmental hazard exists and take action to properly clean and destroy any contaminated materials.

 

End Use

Final determination of the suitability of the goods for the uses contemplated by Buyer is the sole responsibility of the Buyer, and Seller shall in no way be responsible for any suitability of the equipment for any particular end use.
